Nexome Capital Markets Limited's board has allotted 19,20,000 equity shares upon conversion of equal number of equity convertible warrants. The conversion was exercised by 5 warrant holders who paid the balance 75% (Rs. 48/- per warrant) totaling Rs. 9,21,60,000. Allottees include promoter Mr. Utsav Parekh (3,88,000 shares) and four non-promoter entities - Panchganga Advisors, Monet Securities, FORBES EMF, and Chivas Trading. Each warrant was converted at Rs. 64 per share (Rs. 10 face value + Rs. 54 premium). Post-conversion, the company's paid-up capital stands at Rs. 10,73,55,000 comprising 1,07,35,500 shares. The new shares will rank pari-passu with existing shares and the company will seek listing approval.
Warrant conversion increases the company's equity base and reduces warrant overhang. It indicates commitment from existing warrant holders (both promoter and non-promoter) who have infused Rs. 9.22 crore additional capital. The shareholding pattern will dilute with promoter stake at ~4.96% and each non-promoter entity holding ~3.5-3.6% post-allotment.
