Nexome Capital Markets Limited has allotted 19,20,000 equity shares of Rs. 10 each upon conversion of an equal number of equity convertible warrants. The conversion price was Rs. 64 per share (Rs. 10 face value + Rs. 54 premium), with warrant holders paying 25% (Rs. 16) at subscription and the remaining 75% (Rs. 48) at conversion, totaling Rs. 9,21,60,000 received by the company. Five allottees participated: promoter Mr. Utsav Parekh (3,88,000 shares) and four non-promoter entities including Panchganga Advisors, Monet Securities, Forbes EMF, and Chivas Trading. Following the conversion, the company's paid-up equity capital increased to Rs. 10,73,55,000 comprising 1,07,35,500 fully paid-up shares. The newly allotted shares will rank pari-passu with existing shares and the company will apply for their listing and trading approval.
This is a routine warrant conversion that increases the company's equity capital and free float. The dilution is modest (approximately 1.79% of expanded capital), and the new shares are subject to SEBI lock-in norms, so immediate selling pressure is limited.
