NHC Foods Ltd's board approved issuing up to 6.5 crore fully convertible warrants to non-promoter public investors on a preferential basis at Rs. 1.25 per warrant, potentially raising Rs. 8.125 crore. The sole proposed allottee is Mr. Satyam Shirishchandra Joshi, whose stake would rise from 3.52% to 13.05% on full conversion within 18 months. To accommodate the issue, authorised share capital is being raised from Rs. 65 crore to Rs. 100 crore. Separately, Mr. Satyam Joshi has been redesignated from Executive Director to Managing Director for 3 years, after shareholders earlier rejected a similar resolution. An EGM has been scheduled for 18th July 2025 to seek shareholder approval.
The fund raise is small (~Rs. 8 crore) but meaningfully dilutive given the company's tiny size; concentration in a single allottee (who is also being elevated to MD) is a governance red flag. Shareholders have already pushed back once on Mr. Joshi's elevation, so the EGM vote on 18th July will be a key event to watch.
