NMS Global Limited has submitted its Annual Report for FY 2024-25 and the notice for its 39th AGM, scheduled for Monday, 29th September 2025 at 10:00 A.M. via video conferencing. The main special business on the agenda is the issue of 1,13,12,000 Convertible Equity Warrants on a preferential basis to 97 non-promoter allottees at Rs.65 per warrant (including Rs.55 premium), aggregating Rs.73.53 crores. The proceeds are earmarked as 50% for working capital, 25% for acquisition/investment, and 25% for general corporate purposes, to be deployed by March 2026. Ordinary business includes adoption of FY25 audited financials and re-appointment of Mr. Dhananjai Gupta as Director (liable to retire by rotation). The company also seeks approval to appoint M/s. Prachi Bansal & Associates as Secretarial Auditor for a 5-year term (April 2025 to March 2030). No change in control is expected, and promoters/directors are not subscribing to the issue.
If approved, the preferential warrant issue will lead to dilution for existing shareholders as up to 1.13 crore new equity shares could be issued upon conversion. The Rs.73.53 crore raise could strengthen the company's working capital and fund potential acquisitions, but the relatively large size of the issue (multiple non-promoter allottees, many from Mumbai/Delhi/Kolkata) signals a significant equity infusion that existing shareholders should monitor closely.
