NMS Global Ltd has withdrawn its application to BSE for in-principle approval to issue 1,13,12,000 convertible equity warrants to non-promoter allottees. The warrants were originally approved by the Board on August 25, 2025 and by shareholders on September 29, 2025, at ₹65 per warrant, aggregating to about ₹73.53 crore from 97 proposed allottees. The company stated that due to the prolonged delay in getting BSE's in-principle approval, several proposed investors pulled out of their commitment. As a result, the company cannot proceed with the preferential issue in its current form and has formally withdrawn the application.
Negative for shareholders — the company has lost potential funding of roughly ₹73.5 crore, and investor withdrawal signals weak confidence or execution challenges. This may pressure the stock in the near term due to the failed capital raise, though it also removes near-term dilution risk from these specific warrants.
