NMS Global's board, which met on August 25, 2025, approved raising the company's authorized share capital from Rs. 5.5 crores to Rs. 14.5 crores. It also cleared a preferential issue of 1,13,12,000 convertible equity warrants at Rs. 65 per warrant to 97 public (non-promoter) allottees, potentially raising up to Rs. 73.53 crores. All 97 allottees are new shareholders with zero current holding. Warrant holders must pay 25% upfront and the rest within 18 months when they convert each warrant into one equity share of Rs. 10 face value. The board also fixed September 29, 2025 as the AGM date via video conferencing, with book closure from September 23–29 and e-voting from September 26–28, 2025.
This is a significant equity dilution event — if all warrants are converted, public shareholding will expand sharply with 97 new shareholders entering the cap table, which may pressure the stock price in the short term. The potential Rs. 73+ crore inflow could strengthen the company's balance sheet, but existing shareholders will see their proportional ownership reduced pending shareholder approval.
