B. P. Capital Limited has convened an Extra-Ordinary General Meeting on 25th May 2026 to address three key governance changes. First, the company seeks shareholder approval to adopt a new Memorandum of Association (MOA) replacing its current MOA based on the Companies Act 1956 with one aligned to the Companies Act 2013. Second, a similar update is proposed for the Articles of Association (AOA), replacing the old AOA with a new version compliant with the 2013 Act and SEBI Listing Regulations. Third, the company proposes shifting its registered office from the State of Haryana to the National Capital Territory of Delhi, citing that most management and directors are already based in Delhi, and that this would improve administrative convenience, operational efficiency, and business operations. All three items require Special Resolutions, and the registered office shift also needs Central Government approval. Shareholders can vote electronically from 22nd May to 24th May 2026.
The proposed changes are primarily administrative and governance-related. The MOA/AOA updates will align the company with modern legal requirements. The relocation to Delhi may slightly improve operational efficiency given management is already based there. No immediate financial impact is expected, though shareholders should note the meeting date and e-voting deadlines.
