Bank of Baroda has called its 29th AGM on Monday, 23rd June 2025 at 11:00 a.m. via video conferencing. The Board has recommended a dividend of Rs. 8.35 per equity share (face value Rs. 2) for FY2024-25, subject to shareholder approval. The record date for dividend entitlement is 6th June 2025, while 16th June 2025 is the cut-off for e-voting and AGM attendance. Shareholders will also vote on the Capital Plan 2025-26, which seeks approval to raise up to Rs. 8,500 crore through QIP, FPO, rights issue, ADR/GDR, or private placement. Two director appointments are on the agenda: Smt Beena Vaheed as Executive Director and Shri Manoranjan Mishra as Non-Executive Director, along with the appointment of a new secretarial auditor for five years.
The recommended dividend of Rs. 8.35 per share represents a healthy payout, translating to a dividend yield above 3% at current market prices and marking an increase over the previous year's Rs. 7.60. The Rs. 8,500 crore capital raise plan could lead to dilution if executed through equity instruments, though it strengthens the bank's growth capacity. Shareholders must hold shares by 6th June 2025 to be eligible for the dividend.
