Krishna Capital and Securities Ltd has called its 31st AGM on Friday, September 19, 2025 at 4:00 PM IST, to be held entirely through video conferencing (VC/OAVM). The agenda includes adopting the audited standalone and consolidated financial statements for FY 2024-25, reappointing Managing Director Ashok Agrawal (DIN 00944735) who retires by rotation, appointing M/s. Abhishek Kumar & Associates as new Statutory Auditors for a five-year term (till the 36th AGM in 2030), and appointing Mr. Bipin L. Makwana as Secretarial Auditor for FY 2025-26. On a standalone basis, total revenue grew 43.9% to Rs 56.56 lakh but net profit after tax slipped to Rs 10.29 lakh from Rs 13.83 lakh, with EPS at Rs 0.33 (vs Rs 0.44). On a consolidated basis, net profit dropped sharply to just Rs 0.97 lakh (from Rs 14.91 lakh) because the company booked an Rs 11.04 lakh share of loss from an associate, dragging consolidated EPS down to Rs 0.03 from Rs 0.47.
This is largely a routine AGM notice, but shareholders should note the sharp drop in consolidated profit driven by associate-company losses and the changing of statutory auditors after a five-year cycle. No dividend, stock split, or other value-impacting action is proposed at this meeting.
