Shriram Finance has announced its 46th AGM on Friday, July 18, 2025 at 2:00 PM, to be held via video conferencing. The meeting will consider adoption of FY25 financial statements, declaration of a final dividend of Rs.3 per share (face value Rs.2 post-split), along with confirmation of interim dividends totaling Rs.22 per share (pre-split) and Rs.2.50 (post-split). Shareholders will vote on re-appointment of Mr. Ignatius Michael Viljoen and remuneration of joint statutory auditors for FY26. Four special resolutions are on the agenda seeking shareholder approval to raise the borrowing limit from Rs.2,35,000 cr to Rs.2,95,000 cr, security creation limit from Rs.2,93,750 cr to Rs.3,54,000 cr, securitization limit from Rs.50,000 cr to Rs.75,000 cr, and alteration of the Main Object Clause of the Memorandum of Association. Remote e-voting runs from July 15-17, 2025 with cut-off date of July 11, 2025.
The proposed 25-50% increases in borrowing, security, and securitization limits signal aggressive growth plans, which is consistent with management's target to approach Rs.3 lakh crore AUM in FY26. Combined with strong FY25 results (net profit up to Rs.9,761 cr, AUM at Rs.2.63 lakh cr growing 17%, and improving asset quality with GNPA falling to 4.55%), shareholders are likely to view these resolutions favorably. The robust dividend declaration reflects continued shareholder reward commitment.
