Capricorn Systems Global Solutions has called an Extraordinary General Meeting (EGM) on Saturday, September 13, 2025, at 10:00 a.m. via video conferencing. Three resolutions will be put to shareholders: (1) a Special Resolution to alter the Object Clause of the Memorandum of Association to add new business areas including trading in agricultural products, food and beverages, edible and non-edible oils, chemicals, and related commodities; (2) a Special Resolution to adopt a new set of Articles of Association replacing the existing ones (which are based on the old Companies Act, 1956) to align with the current Companies Act, 2013; and (3) an Ordinary Resolution to increase the Authorised Share Capital from Rs. 25 crore (2.5 crore equity shares of Rs. 10 each) to Rs. 32 crore (3.2 crore equity shares of Rs. 10 each), creating an additional 70 lakh shares. The current paid-up capital stands at Rs. 3.996 crore (39.96 lakh shares). Remote e-voting opens September 10 and closes September 12, 2025, with September 5, 2025 as the cut-off date for voting eligibility.
The resolutions signal a strategic pivot toward agri-commodity and FMCG trading, potentially enabling a new revenue stream. The authorised capital increase of Rs. 7 crore (28% rise) creates room for a future fundraising or share issuance, which could lead to dilution depending on how the additional shares are eventually used.
