NTPC Limited shareholders have approved, via postal ballot, a special resolution to raise up to Rs. 18,000 Crore through the issue of Non-Convertible Debentures (NCDs) or Bonds on a private placement basis. The voting period ran from 24th June 2025 to 23rd July 2025. Out of 8,99,95,31,241 valid votes cast, an overwhelming 99.9925% (8,99,88,54,599 votes) were in favour, with only 0.0075% (6,76,642 votes) against. Promoter group voted 100% in favour, while public institutional and non-institutional holders voted 99.98% and 96.96% in favour respectively. The scrutinizer, CS Amit Kaushal, confirmed the resolution was passed with requisite majority.
This approval gives NTPC the green light to raise Rs. 18,000 Crore through bonds/NCDs, strengthening its capacity to fund capital expenditure and expansion plans. The near-unanimous support reflects strong shareholder confidence, and the debt raise is likely to be viewed as a routine, planned financing step with minimal negative impact on existing shareholders since it does not involve equity dilution.
