Nucleus Software Exports has issued a corrigendum to fix the address of the Nucleus Software Equity Incentive Trust mentioned in Item No. 6 of its Postal Ballot Notice — the corrected address is 33-35 Thyagraj Nagar Market, New Delhi-110003. All other parts of the Postal Ballot Notice remain unchanged, and the revised notice has been circulated to members and published in the Financial Express and Jansatta. The underlying Postal Ballot, which runs for e-voting from April 8 to May 7, 2026, covers six items: re-appointment of Mr. Parag Bhise as Whole Time Director & CEO for two more years, appointment of Dr. Nitin Ramesh Gokarn as Independent Director for five years, approval of the Nucleus Software RSU Scheme-2026 covering up to 10 lakh Restricted Stock Units, extending the RSU scheme to subsidiary employees, secondary acquisition of up to 10 lakh shares by the Trust (capped at 5% of paid-up capital overall and 2% per year), and provision of an interest-free loan to the Trust of up to 5% of paid-up capital plus free reserves.
This is a minor procedural correction and does not change the substance of any resolution put to shareholders.
