The promoter group of Nureca Limited – Saurabh Goyal, Aryan Goyal, Payal Goyal, Smita Goyal, and Nectar Biopharma Private Limited – filed disclosures under Regulation 29(1) and 29(2) of SEBI's Takeover Regulations. Their combined shareholding percentage rose from 64.97% to 68.09%, an increase of 3.12 percentage points, but the actual number of shares held (64,97,176) did not change. This passive increase happened because the company bought back 4,58,255 equity shares from public shareholders, shrinking the total share base from 1,00,00,175 to 95,41,920. The buyback ran from December 18 to December 24, 2025, with shares formally extinguished on January 7, 2026. Public shareholding correspondingly fell from 35.03% to 31.91%.
This is a routine procedural disclosure – promoters did not actually buy or sell shares. The higher promoter percentage simply reflects a smaller public share base after the buyback. Promoter control of the company remains firmly above the takeover threshold, with no change in ownership economics for existing shareholders.
