Integrated Industries Limited (formerly Integrated Technologies Limited) has issued a corrigendum to the notice of its Extra Ordinary General Meeting scheduled for 3 January 2026. The original EGM notice was dispatched to shareholders on 11 December 2025. The corrigendum clarifies the objects of a proposed preferential issue: ₹104.69 crore will be used for working capital requirements of subsidiaries (including step-down subsidiaries) and ₹10 crore for general corporate purposes, to be utilized within 2 years of receipt of money. It also confirms that since the preferential issue proceeds exceed ₹100 crore, the company has appointed Brickwork Ratings India Private Limited as the SEBI-registered Monitoring Agency to oversee fund utilization under Regulation 162A of the SEBI (ICDR) Regulations. All other contents of the original EGM notice remain unchanged.
This corrigendum provides shareholders with clearer details on how the company plans to deploy funds raised via the preferential issue, with the bulk (over 90%) earmarked for subsidiary working capital. The appointment of an independent monitoring agency adds a layer of accountability on fund usage, which is mildly positive for governance, but dilution from the preferential issue remains the key concern for existing shareholders voting at the EGM.
