Omaxe's board approved unaudited standalone and consolidated results for Q1 FY26 (quarter ended June 30, 2025). Standalone revenue from operations rose sharply to Rs 119.46 crore from Rs 80.30 crore a year ago (~49% growth), though the company still posted a standalone loss of Rs 35.83 crore (vs Rs 64.10 crore loss last year). On a consolidated basis, total income fell to Rs 298.03 crore from Rs 385.23 crore, and the loss widened to Rs 185.77 crore from Rs 146.98 crore. The auditor (BSD & Co) issued an unmodified review opinion but flagged two emphasis-of-matter items: the SEBI order from July 2024 (stayed by SAT, next hearing October 9, 2025) and pending income-tax demands from a 2022 search. The board also cleared the re-appointment of Independent Director Aroon Kumar Aggarwal and Whole-Time Director Vinit Goyal for a second 5-year term, accepted CFO Manoj Kumar Dua's resignation (he will move to President-Corporate Accounts), and appointed Atul Banshal as the new CFO. DMK Associates was appointed as Secretarial Auditor for FY26–FY30.
Shareholders will focus on the widening consolidated loss and the revenue decline at the group level, even as the standalone business shows improvement. The pending SEBI and tax cases remain overhangs, and the CFO transition adds near-term uncertainty. The board's continued re-appointments signal stability in leadership, but the financial trajectory is still negative on a consolidated basis.
