Guild Builders Private Limited, the holding company of Omaxe Ltd, has created a fresh Non-Disposal Undertaking (NDU) on 3,52,57,799 equity shares (19.28% of total share capital) in favour of Catalyst Trusteeship Limited. This NDU is against 750 unlisted, unrated, secured, redeemable non-convertible debentures (NCDs) of Rs 10 lakh each, with a total borrowing of Rs 75 crore to be used for general corporate purposes and land acquisition, repayable over 24 monthly instalments from May 2027 to April 2029. Alongside this fresh encumbrance, two existing pledges remain: 1.26 crore shares (6.91%) pledged with Venus India Asset-Finance Pvt Ltd for Rs 40 crore, and 77.31 lakh shares (4.23%) pledged with individual Rama Shankar Khemka for Rs 45 crore. Total promoter shareholding stands at 13.56 crore shares or 74.14% of Omaxe's capital, and combined encumbrance now stands at about 41% of promoter holdings (roughly 30% of total share capital).
Fresh encumbrance of nearly 20% of total share capital increases the overall pledge/encumbrance burden on promoter holdings to over 30% of the company. While no shares have been sold or invoked, the rising encumbrance level signals higher financial leverage at the promoter level and could weigh on sentiment if further encumbrances are added.
