One Mobikwik Systems Ltd's board has approved the slump sale of its Lending Services Provider (LSP) business to MobiKwik Distribution Services Private Limited (MDSPL), a wholly-owned subsidiary. The LSP business generated INR 2,613.75 million in revenue (22.70% of standalone revenue) and had a net worth of INR 952.21 million (16.94% of standalone net worth) for FY 2025-26. The consideration will be discharged via Non-Convertible Debentures based on book value. The transaction is a related party deal at arm's length and is structured to facilitate RBI certification for NBFC operations under Mobikwik Financial Services Private Limited. Completion is expected by end of Q2 FY 2026-27, subject to shareholder approval.
The slump sale removes a revenue-generating business segment (22.70%) from the listed entity, transferring it to a subsidiary structure. While the rationale is regulatory compliance for NBFC licensing, this reduces the standalone revenue base of the listed company. No change in shareholding pattern will occur.
