One Mobikwik Systems Limited's Board has approved the slump sale of its Lending Services Provider (LSP) Business to MobiKwik Distribution Services Private Limited (MDSPL), a wholly-owned subsidiary. The LSP business contributed INR 2,613.75 million in revenue for FY 2025-26, representing 22.70% of the company's standalone revenue, and had a net worth of INR 952.21 million as of March 31, 2026. The transaction will be settled through issuance of Non-Convertible Debentures by MDSPL based on book value. The rationale is that Mobikwik Financial Services Private Limited (another subsidiary) is applying for NBFC registration from RBI, which requires the LSP business to be transferred to MDSPL as a pre-condition. The deal is subject to shareholder approval and is expected to close by end of Q2 FY 2026-27.
The sale divests a significant revenue-generating business segment (22.70% of revenue) to a subsidiary, though it remains within the group. Shareholders may see this as restructuring to meet regulatory requirements for NBFC licensing rather than a loss of business opportunity.
