Optimus Finance Ltd reported its Q1 FY26 results on August 13, 2025. On a standalone basis, total income fell to ₹32.29 lakh from ₹35.30 lakh in Q1 FY25, and profit after tax dropped sharply to ₹10.06 lakh from ₹15.75 lakh, a decline of about 36%. On a consolidated basis (including subsidiaries Maximus International and Maximus Infra Ventures, primarily in oils trading), total revenue from operations was nearly flat at ₹3,981.42 lakh versus ₹3,969.39 lakh a year ago, while consolidated PAT grew modestly to ₹242.43 lakh from ₹228.34 lakh. The Board also approved a proposal to convert a loan into equity shares under Section 62(3) (subject to shareholder approval), appointed a new Secretarial Auditor for 5 years, and appointed a new Internal Auditor for 3 years after the previous one resigned citing disagreement over fees.
Standalone numbers are weak with falling income and a 36% drop in profit, but the consolidated picture is stable, reflecting that earnings now mainly come from the oil trading subsidiary. Shareholders should watch the loan-to-equity conversion proposal as it may dilute existing holdings, and note the abrupt change of internal auditor due to a fee dispute.
