Orchid Pharma has filed the voting results of its 32nd AGM held on September 20, 2025, conducted via video conferencing. A total of 4,48,49,000 votes were polled across all 9 resolutions, and all resolutions were passed with the requisite majority. Routine items including adoption of FY25 audited financial statements (94.78% in favour), re-appointment of Mr. Arjun Dhanuka as a non-executive director (99.99%), ratification of cost auditor remuneration (99.99%), and appointment of the secretarial auditor (99.99%) saw overwhelming support. Three independent directors — Dr. Dharam Vir, Mr. Manoj Kumar Goyal, and Ms. Tanu Singla — were re-appointed for a second 5-year term with around 91% approval each. The resolution to modify the utilisation of funds raised through a Qualified Institutions Placement (QIP) passed with 86.26% in favour, but saw the highest dissent at 13.74%. Approval for material related party transactions with Otsuka Chemicals (India) Pvt Ltd also passed with 99.99% support, after excluding promoter Dhanuka Laboratories' 3.54 crore votes as a related party.
All AGM resolutions were approved, indicating smooth shareholder backing of management's proposals and continued board stability with the re-appointment of all three independent directors. Investors should note the relatively higher dissent (~14%) on the QIP fund utilisation change, which may reflect minority shareholder concerns about the deployment of earlier raised capital, though it did not affect the outcome.
