Orchid Pharma has informed the exchange that the National Company Law Tribunal (NCLT), Chennai, has approved its merger petition on June 05, 2026. The scheme involves the amalgamation and arrangement of Dhanuka Laboratories Limited with Orchid Pharma Limited and their respective shareholders and creditors. With the NCLT's approval, Dhanuka Laboratories (the merging company) will now be merged into Orchid Pharma (the surviving company) on a going concern basis. Following the sanction, the assets, liabilities, and operations of Dhanuka Laboratories will be transferred to and vested in Orchid Pharma.
This is a significant corporate action for Orchid Pharma shareholders as the merger with Dhanuka Laboratories will be formally effective, combining the businesses of both entities. Shareholders may see changes in shareholding structure depending on the swap ratio, and the combined entity is likely to have expanded operations. Investors should watch for further announcements on the record date, share swap ratio, and effective date of the scheme.
