Oricon Enterprises has issued a Postal Ballot Notice to shareholders seeking approval through remote e-voting from June 23, 2025 to July 22, 2025. Four special business items are up for vote: (1) Reappointment of Mr. Adarsh Somani as Managing Director for 5 years (June 1, 2025 to May 31, 2030) at a monthly remuneration of up to Rs. 25 lakh, since his current term expired on May 31, 2025; (2) Approval of related party appointment of Mr. Susheel G. Somani (promoter) at up to Rs. 5 lakh per month; (3) Increase in monthly remuneration of Mr. Hridai Somani (promoter group) from Rs. 2 lakh to up to Rs. 5 lakh; (4) Increase in monthly salary of Mr. Sharad Toshniwal (son of Executive Director B.K. Toshniwal) from Rs. 2.5 lakh to up to Rs. 5 lakh. The cut-off date for determining voting rights is June 13, 2025. Notably, Mr. Adarsh Somani holds 42.08 lakh equity shares in the company, and the firm reported a sharp jump in FY25 profit (PAT of Rs. 13,200.26 lakhs vs Rs. 1,184.46 lakhs in FY24) partly aided by the slump sale of two undertakings for Rs. 520 crores.
Shareholders will vote on key governance matters including a 5-year MD reappointment and increased payouts to promoter-group individuals. The promoter-linked resolutions may attract scrutiny, but the strong FY25 earnings and the company's plans to redeploy the Rs. 520 crore slump sale proceeds into new opportunities could be seen as positives. No immediate stock price catalyst is expected; the outcome will depend on shareholder approval in the July 22, 2025 vote.
