Orient Cement has issued a corrigendum to the notice of its 14th AGM, scheduled for Thursday, August 7, 2025 at 10:00 a.m. via video conferencing. The corrigendum adds three paragraphs to Item No. 3, disclosing that the proposed fees for new statutory auditor M/s G.K. Choksi & Co. will be Rs. 37.50 Lakhs for FY 2025-26, excluding GST, certification fees, taxes, reimbursements and other outlays. The AGM will also consider adoption of FY25 audited financials, declaration of a dividend, appointment of a secretarial auditor (M/s Parikh Dave & Associates), waiver of excess remuneration of Rs. 431.96 Lakhs paid to former MD & CEO Mr. Desh Deepak Khetrapal, and approval of material related party transactions with Adani Global PTE. The record date for dividend eligibility is July 25, 2025, and remote e-voting runs from August 4-6, 2025. All other contents of the original AGM notice remain unchanged.
This is largely a procedural correction disclosing the auditor's proposed fee; no material change to the AGM agenda. Shareholders, especially retail investors, should review the resolutions on the Rs. 431.96 Lakhs excess remuneration waiver for the former MD & CEO and related party transactions with the Adani group, as these are key items requiring their vote.
