Central India Industries Limited, a member of the promoter and promoter group of Orient Electric, acquired 10,00,000 equity shares (0.47% of the company) from four other promoter group entities on 27 June 2025. The sellers were Amer Investments (Delhi) Limited (67,600 shares), National Engineering Industries Limited (5,37,400 shares), Bengal Rubber Company Limited (1,95,000 shares), and India Silica Magnesite Works Limited (2,00,000 shares). The transaction was carried out at INR 222.37 per share as part of an internal restructuring exercise within the promoter group. As a result, Central India Industries' individual holding in Orient Electric rose from 24.63% to 25.10%, while the aggregate promoter group shareholding remains unchanged. The acquisition is exempt from making an open offer under Regulation 10(1)(a)(ii) of SEBI Takeover Regulations, as it is an inter-se transfer among promoter group members.
This is a neutral event for public shareholders — it is only an internal reshuffle within the promoter group and does not change the total promoter ownership or introduce any new entity. The stock price is unlikely to be materially affected as no new capital is being raised and no open offer is triggered.
