Orient Green Power has informed that the NCLT (Division Bench II, Chennai) has approved a scheme of merger by absorption where promoter companies Nivedana Power Private Limited (NPPL) and Syandana Energy Private Limited (SEPL) will merge into SVL Limited, another promoter entity, with effect from an order dated March 10, 2026. As a result, the shares of Orient Green Power currently held by NPPL and SEPL will be consolidated under SVL, and NPPL and SEPL will cease to exist. The aggregate promoter shareholding in Orient Green Power will remain unchanged at 24.38%. Orient Green Power itself is not a direct party to this scheme.
This is an internal promoter-level restructuring with no change in total promoter ownership or in the company's operations, so it is largely neutral for shareholders. The simplification of the promoter group under a single entity (SVL) may marginally improve governance clarity, but no direct stock price trigger is expected.
