Oriental Aromatics held its 53rd AGM on 21 August 2025 via video conferencing, with 51 shareholders attending out of 26,694 on record. All 8 resolutions were passed with overwhelming majority (over 99.97% in favour), including adoption of FY25 audited financials, declaration of a final dividend of Rs 0.5 per share (10% on face value of Rs 5), re-appointment of Mr. Shyamal A. Bodani as director, ratification of cost auditor remuneration, appointment of Shreyans Jain & Co as secretarial auditor, and revision of remuneration for three executive directors (Dharmil A. Bodani, Shyamal A. Bodani, and Satishkumar Ray). About 75.41% of total shares were polled through remote e-voting and e-voting during the AGM. Promoter group voted 100% in favour on all resolutions; institutional and non-institutional public shareholders also voted overwhelmingly in favour.
Routine AGM outcome with no surprises — all resolutions including the modest Rs 0.5 dividend passed with near-unanimous support. No material governance concerns, as dissent was negligible (under 0.03% on every resolution).
