Mr. Ravi Agrawal, Promoter and Managing Director of Orissa Bengal Carrier Limited, intends to acquire 9,35,000 equity shares (4.434% of share capital) from Rishi Kumar & Sons (HUF), which is part of the Promoter Group, through an off-market inter-se transfer on or after June 25, 2025. After this transfer, Mr. Ravi Agrawal's individual holding will rise from 82,69,300 shares (39.22%) to 92,04,300 shares (43.65%), while Rishi Kumar & Sons HUF's holding will drop from 9,35,480 shares (4.437%) to just 480 shares. The transaction falls under the exemption under Regulation 10(1)(a)(ii) of SEBI (SAST) Regulations, meaning no open offer is triggered. The aggregate Promoter and Promoter Group shareholding remains unchanged before and after this transfer, and the price will be at the 60-day volume-weighted average market price of Rs. 54.37.
This is purely an internal reshuffle within the promoter family with no change in total promoter ownership, so it is largely a neutral event for shareholders. Consolidation of a larger stake in the MD's name may slightly reduce concerns about fragmentation but is unlikely to materially move the stock price.
