The Board of Oswal Pumps approved issuing two corporate guarantees for its wholly owned material subsidiary, Oswal Solar Energy Private Limited. The first is up to Rs. 86.16 crore to secure credit facilities from State Bank of India, and the second is up to Rs. 50 crore to secure credit facilities from Yes Bank. Together, the company is committing up to Rs. 136.16 crore as contingent liability. The guarantees will remain valid until the subsidiary repays the underlying credit facilities in full. The subsidiary plans to draw these funds in tranches.
For shareholders, this means Oswal Pumps is taking on up to Rs. 136.16 crore in contingent liability to fund its solar energy subsidiary. If the subsidiary defaults, the parent company would be on the hook to repay. This shows capital being deployed into the solar business vertical, which could drive future growth but also increases financial risk exposure.
