CMI Limited held its 58th AGM on December 26, 2025 via video conferencing, chaired by Mr. Deepak Maini, the Resolution Professional, since the company is under Corporate Insolvency Resolution Process (CIRP) following Canara Bank's Section 7 IBC petition admitted by NCLT on July 28, 2023. Two ordinary resolutions were passed: (1) adoption of audited financial statements for FY ended March 31, 2025, and (2) ratification of statutory auditors M/s. Bagchi & Gupta. Both resolutions passed with overwhelming approval of 99.86% in favor (121,714 votes for vs. 170 votes against, 87 members in favor vs. 20 against). E-voting was conducted via CDSL from December 23-25, 2025, and voting results will be announced by December 27, 2025. The CMD Mr. Amit Jain attended but his powers remain suspended under CIRP.
Routine procedural outcome with no material new decisions — shareholders overwhelmingly approved the delayed FY2025 financials and auditor ratification. The AGM's conduct under the Resolution Professional rather than the CMD underscores the company remains under insolvency resolution, which continues to be the key overhang for shareholders.
