CMI Limited held its 58th AGM on 26 December 2025 via video conferencing, chaired by Resolution Professional Mr. Deepak Maini. The company is currently undergoing the Corporate Insolvency Resolution Process (CIRP) after the NCLT admitted Canara Bank's petition under Section 7 of the IBC in July 2023, with the powers of the Board suspended. Two ordinary resolutions were passed: adoption of the audited financial statements for FY ended 31 March 2025 (99.86% in favour) and ratification of statutory auditors M/s Bagchi & Gupta (99.86% in favour). Only 87 members voted in favour and 20 voted against each resolution, with a total of 1,21,884 valid votes cast. E-voting was conducted via CDSL between 23–25 December 2025, with the scrutinizer being M/s ATG & Co.
Routine procedural update with no material business change; both resolutions passed with overwhelming majority, but the company remains under insolvency resolution, meaning shareholders' returns are still tied to the outcome of the ongoing CIRP rather than normal operational performance.
