Lynx Machinery & Commercials Ltd held its 64th AGM on 26th September 2025 via video conferencing, with all three resolutions passed with overwhelming majority. The resolutions covered: (1) adoption of FY25 financial statements, (2) re-appointment of Devang Jajodia as director retiring by rotation, and (3) a special resolution to invest and give loans under Section 186(3) of the Companies Act. Voting was conducted through CDSL's e-voting platform, with 48 members casting 699,016 votes (68.16% of outstanding shares). Each resolution received over 99.96% approval, with just 10 dissenting votes across all resolutions. Out of 2,496 eligible shareholders, only 25 attended the meeting through video conferencing. The scrutiniser (Mehul Pitroda) confirmed the voting process was fair and transparent.
The near-unanimous approval of all resolutions shows strong shareholder consensus and no governance friction. The Section 186(3) special resolution gives the board broader flexibility to deploy capital through investments and loans, which investors should monitor for future disclosures on related-party or large transactions.
