Valecha Engineering's Board, meeting on September 24, 2025, approved the audited standalone and consolidated financial results for the quarter and year ended March 31, 2025. Standalone revenue from operations fell sharply to ₹29.65 Cr in FY25 from ₹57.01 Cr in FY24, a drop of nearly 48%. The company swung to a standalone profit after tax of ₹437.37 Cr (vs a loss of ₹1.50 Cr in FY24), but almost all of this came from a one-time net exceptional gain of ₹433.62 Cr. This gain arose mainly from writing back old liabilities (~₹640.55 Cr) under the IBC Resolution Plan approved by NCLT in June 2024, offset by write-offs of irrecoverable receivables (~₹185.64 Cr) and a ~₹21.29 Cr payment against corporate guarantee obligations. The balance sheet improved markedly — total equity rose to ₹514.75 Cr from ₹20.28 Cr and borrowings dropped to near zero after the new resolution applicant infused ₹21.40 Cr. The auditor issued an unqualified opinion but flagged 11 Emphasis of Matter items, including pending recoverability assessments for trade receivables (~₹170 Cr), subsidiary loans (~₹171 Cr), and a recommended ₹3.15 Cr provision for undistributed pending payables. The 48th AGM is scheduled for November 17, 2025.
The headline profit looks impressive but is almost entirely driven by one-time accounting entries from the IBC resolution — core operations actually shrank sharply, so the stock may see limited real valuation benefit. Shareholders should watch for follow-up provisioning on the stressed assets flagged by the auditor, while the clean balance sheet and near-zero debt provide a more stable base for the new management.
