BJ Duplex Boards Ltd's board has approved three major corporate actions. First, the company's authorised share capital will be doubled from ₹12 crore to ₹25 crore by creating 13 crore new equity shares. Second, the company will acquire 87.91% stake in Prabhatam Infrastructure Limited (PIL) for ₹14.4 crore via a share swap, issuing 14.4 crore new shares at ₹1 each to PIL's shareholders. Third, the company will raise up to ₹6 crore through a preferential cash issue of 6 crore shares at ₹1 each to public allottees. Both the capital increase and preferential issues are subject to shareholder approval at an EGM scheduled for May 8, 2026.
Significant dilution risk for existing shareholders as around 20.4 crore new shares will be issued, more than doubling the current share count. The acquisition of PIL expands BJ Duplex into infrastructure and EPC business, enabling consolidation of financials.
