Outcome of Circular Resolution passed by the Board of Directors on 23/01/2026 for allotment of equity shares pursuant to conversion of warrants by the warrant holders for the second tranche
Awaiting price reaction for this filing.
Rama Petrochemicals has allotted 15,96,450 equity shares (face value ₹10 each) to two promoter group entities upon conversion of warrants issued earlier on a preferential basis. The allottees are Rama Industries Limited (9,67,360 shares) and Rainbow Agri Industries Limited (6,29,090 shares). The company received ₹1.20 crore as the balance 75% exercise price (₹7.5 per warrant) against the original warrant issue price of ₹10 each. As a result, the paid-up equity share capital has increased from ₹11.72 crore to ₹13.32 crore.
This is a promoter-driven capital infusion with no fresh external investor, so the cash inflow is modest (~₹1.2 crore) and dilution is limited to promoter group entities. Shareholders should note a small increase in equity base and potential minor EPS dilution.
