Valecha Engineering's board approved its audited standalone and consolidated financials for FY26, posting modest full-year revenue of ₹17.32 Cr from operations (down from ₹26.93 Cr in FY25, a ~36% decline). Full-year profit after tax was just ₹1.76 Cr versus ₹437.37 Cr last year, since FY25 benefited from a one-time exceptional gain of ₹433.62 Cr. In Q4 FY26 alone, the company swung to a loss of ₹9.43 Cr, driven by net exceptional items of ₹(3.91) Cr covering write-offs, subsidiary investment impairments, and expected credit losses on receivables. The auditors issued an unqualified (unmodified) opinion but included 12 separate Emphasis of Matter paragraphs flagging concerns around a subsidiary under CIRP, large unassessed recoverability of loans/advances totaling over ₹285 Cr, and a fresh income-tax demand of ₹191.23 Cr for AY 2024-25 which the company is appealing.
Despite the clean audit opinion, the combination of weak top-line, a quarterly loss, large unsettled exposures to subsidiaries, and a sizeable ₹191 Cr tax contingency (vs net worth of ~₹474 Cr) signals material near-term risk for shareholders. The stock may face pressure as investors digest the contingent tax demand and ongoing subsidiary-level insolvency overhang.
