Padam Cotton Yarns Ltd has announced the results of its Postal Ballot conducted via remote e-voting between May 7 and June 5, 2025, with all 4 special resolutions approved by shareholders. The resolutions include sub-division/split of equity shares, alteration of the capital clause of the Memorandum of Association, appointment of Mr. Dinesh Shivcharanbhai Shreevastav as Whole-Time Director, and appointment of Mrs. Kinjal Shah as Non-Executive Independent Director. Each resolution received overwhelming support of approximately 99.99% in favour, with only 86 to 233 votes cast against. Out of 5,111 total shareholders on record date, voting participation came only from public non-institutional holders, representing 12.92% of outstanding shares (16.67 lakh shares polled). The scrutinizer CS Ashish Goyal confirmed the e-voting process was conducted in a fair and transparent manner.
All resolutions passed with near-unanimous support from voting shareholders, signalling strong approval for the stock split, governance restructuring, and new director appointments. The equity share sub-division may improve share liquidity and attract retail participation going forward.
