Appointment of independent director and reconstitution of various committees

PAN HR Solution Ltd's board meeting on 22nd May 2026 approved the appointment of Ms. Sheetal Sharma (DIN: 11734809) as an Additional Non-Executive Independent Director for a 5-year term commencing 22nd May 2026, subject to shareholder approval. She is an Advocate with professional experience in legal and corporate matters. Following her appointment, three board committees have been reconstituted — Audit Committee, Nomination and Remuneration Committee, and Stakeholder Relationship Committee — with Ms. Sharma added as a member to each. She is not related to any existing director and has confirmed she is not debarred from holding the position under SEBI orders or Section 164 of the Companies Act 2013.
