Panorama Studios International's Preferential Allotment Committee approved the conversion of 7,00,000 equity convertible warrants into 35,00,000 fully paid-up equity shares (ratio 1:5, due to sub-division of face value from Rs. 10 to Rs. 2). The company received Rs. 14.39 crore as the balance 75% exercise amount at Rs. 205.50 per warrant. Allotments went entirely to promoters: MD Kumar Mangat Pathak received 15 lakh shares (Rs. 6.16 crore), while Neelam Kumar Mangat Pathak and Abhishek Pathak (both promoter group) received 10 lakh shares each (Rs. 4.11 crore each). The warrants were originally issued at Rs. 274 per warrant (including Rs. 264 premium) in February 2024. The newly issued shares will rank pari-passu with existing equity shares.
Positive signal of promoter confidence and commitment, as promoters have put in Rs. 14.39 crore of additional capital. The share count rises by 35 lakh shares, but since all are issued to existing promoters, their percentage holding remains unchanged. Shareholders should note the modest equity dilution.
