The Board of Directors of Panorama Studios International Ltd, at its meeting held on 15th October 2025, approved increasing the Authorised Share Capital from ₹16 crore (8 crore equity shares of ₹2 each) to ₹60 crore (30 crore equity shares of ₹2 each) to accommodate the upcoming bonus issue. The Board also recommended a Bonus Issue in the ratio of 5:2, meaning 5 new fully paid-up equity shares of ₹2 each for every 2 existing shares held as on the record date (to be notified later). A total of approximately 18.60 crore new bonus equity shares will be issued, taking the paid-up share capital from 7.44 crore shares (₹14.88 crore) to about 26.05 crore shares (₹52.10 crore). The bonus will be funded by capitalising free reserves and securities premium — about ₹37.22 crore is needed, and the company had ₹46.66 crore in securities premium and ₹124.20 crore in retained earnings as of March 31, 2025. The issue is subject to shareholder approval at a forthcoming Extra-Ordinary General Meeting (EGM), and bonus shares are expected to be credited by 14th December 2025.
This is a shareholder-friendly move. Existing investors will receive 2.5 bonus shares for every share they hold, increasing their share count by 150%. The share price will adjust downward proportionally on the ex-date, so total holding value typically stays the same in the short term, though it improves liquidity and affordability of the stock.
