Paradeep Parivahan has allotted 10,40,000 fully convertible equity warrants at Rs. 156.46 per warrant, aggregating to Rs. 16.27 crores, on a preferential basis. The company has received 25% application money (Rs. 4.07 crores) upfront at Rs. 39.115 per warrant, with the remaining 75% (Rs. 117.345 per warrant) to be paid within 18 months upon conversion. Two allottees participated: promoter Khalid Khan (8,00,000 warrants) and non-promoter public investor Jigish Shantilal Sonagara (2,40,000 warrants). On full conversion, promoter Khalid Khan's stake will rise from 32.98% to 35.67% on a fully diluted basis. BSE had granted in-principle approval earlier on March 9, 2026, and shareholders had approved the issue via an Extraordinary General Meeting.
Existing shareholders may face dilution of up to ~6% once warrants are converted. The promoter's increased stake signals confidence, but the preferential route means shares are being issued to select investors rather than the open market, which can be dilutive and is typically priced below market.
