Paradeep Parivahan's board, meeting on August 20, 2025, approved the acquisition of four companies which have become 100% wholly-owned subsidiaries: M.R.T.C. (India) Pvt Ltd (transport, acquired for ₹4.78 cr; FY25 turnover ₹26.35 cr), ASK Logistiek Solutio Pvt Ltd (transport, acquired for ₹3 lakh; FY25 turnover ₹2.91 cr), Pharmachem Traders Pvt Ltd (pharma trading, acquired for ₹7.10 cr; FY25 turnover ₹6.71 cr), and Nirkon Industries Pvt Ltd (pharma trading, acquired for ₹59.57 lakh; FY25 turnover nil). All four are related-party transactions with the promoter group, said to be at arm's length, expanding the company into pharma trading alongside its core transport/logistics business. The board also approved a revision in MD/CEO Khalid Khan's remuneration, commission for Non-Executive Director Bushra Khan, new borrowing/loan and investment limits under Sections 185 and 186, related-party transactions with M.R.T.C. and ASK Logistiek, and creation of charges on company assets. The 25th AGM is scheduled for September 19, 2025, with the register of members closed from September 13–19 and the e-voting cut-off set for September 12, 2025.
The acquisitions, totalling roughly ₹12.5 crore in cash, diversify Paradeep Parivahan into pharma trading and consolidate related-party businesses under one roof — modest in size but worth watching for execution and related-party governance. Shareholders should review the revised MD remuneration, expanded borrowing limits, and related-party deals at the upcoming AGM on September 19.
