Paradeep Parivahan Ltd has issued a corrigendum to its EGM notice scheduled for January 31, 2026, clarifying details of a proposed preferential issue of convertible warrants in response to BSE's communication. The company plans to raise up to Rs. 18.74 crores by issuing 12 lakh warrants at Rs. 156.17 each (including a premium of Rs. 146.17), each convertible into one equity share of Rs. 10 face value. Proceeds will be used for general corporate purposes (up to 25%, or Rs. 4.69 crore) and working capital needs (up to 75%, or Rs. 14.06 crore), to be utilised within 18 months. Three proposed allottees include promoter Khalid Khan (who will increase his holding from 32.98% to 35.34%), along with Jigish Shantilal Sonagara and Dhatri Software Solutions Pvt. Ltd. Post-issue, promoter holding will rise slightly to 66.01%, and total share count will move from 1.59 crore to 1.71 crore shares.
The preferential warrant issue will raise fresh capital without immediate dilution, but conversion will increase the share count by ~7.5%, slightly diluting public shareholders from 34.04% to 33.99%. Promoter participation signals confidence, while the pricing of Rs. 156.17 per share sets a near-term reference level for the stock.
