Patanjali Foods has signed two agreements with promoter group company Patanjali Ayurved Limited (PAL) to strengthen its manufacturing base. The first is a leasehold rights transfer for a 4,00,016 sq meter land parcel in Sector 24, Yamuna Expressway Industrial Development Area, Uttar Pradesh, along with a partially constructed building of 69,900 sq meters, for a lump sum of INR 673.90 crore (INR 605.90 crore for land + INR 68 crore for the building). The second is a plant and machinery transfer agreement for biscuit manufacturing equipment at the same location, valued at INR 76.10 crore. The combined deal size is INR 750 crore and is classified as a related party transaction, with the company stating it is at arm's length. The transaction is subject to approvals from YEIDA and other authorities.
This is a capacity-expansion move that should support future growth in Patanjali Foods' biscuit and broader FMCG operations, but the INR 750 crore outflow to a promoter group entity will draw investor attention on related-party deal pricing, governance, and execution risks pending regulatory approvals.
