PDS Limited has sold its entire stake in Grupo Sourcing Limited, a step-down subsidiary in Bangladesh, to its business head Mr. Zamal Uddin Ahmed and his family for approximately ₹21.26 million. The subsidiary contributed only 0.28% of consolidated turnover (₹3,565.41 lakhs) and was loss-making with a loss after tax of about ₹54.55 lakhs. The sale agreement was signed on May 27, 2025, and regulatory approval was received on August 12, 2025, the same day the announcement was made. The buyers are not part of the promoter group, and the transaction is classified as a related party transaction done at arm's length. The move is part of PDS Group's strategy to cut losses and improve profitability by exiting unprofitable verticals.
This is a small, loss-making subsidiary divestment with negligible impact on the company's overall financials, but it removes a drag on profitability and signals management's focus on pruning non-core, underperforming units.
