At its July 28, 2025 board meeting, Pearl Green Clubs and Resorts approved multiple changes. M/s KPSJ & Associates LLP resigned as Statutory Auditor, citing inability to dedicate sufficient time due to other professional commitments. KPSJ was originally appointed in September 2024 for a five-year term (until 2029) but stepped down less than a year in; they had already completed the FY25 audit (report dated May 28, 2025) and flagged no concerns or issues with the company. To fill the casual vacancy, the Board recommended M/s Rawka & Associates, Chartered Accountants (Indore-based firm, FRN 021606C) as the new Statutory Auditor, subject to shareholder approval at the upcoming AGM. Separately, M/s JCA & Co. was appointed as Secretarial Auditor for a five-year period (FY 2025-26 to 2029-30). The 7th Annual General Meeting was fixed for August 21, 2025.
The auditor change is largely procedural — the outgoing firm cited capacity constraints on its end and raised no concerns about the company's books. Mid-term auditor exits can sometimes raise investor eyebrows, but the clean transition with no flagged issues limits negative impact; shareholders will need to approve the new Statutory Auditor at the August 21, 2025 AGM.
