Persistent Systems is transferring 100% of its German subsidiary, Persistent Systems Germany GmbH, to Aepona Group Limited, Ireland (also a wholly owned subsidiary), as part of an internal group restructuring. The deal is valued at EUR 20,878,597 and is settled through a share swap — Persistent will receive equivalent equity shares of Aepona Group Limited instead of cash. As a result, the German entity will become a step-down subsidiary of Persistent. The German subsidiary reported turnover of EUR 5 million in FY25 (down from EUR 6.1 million in FY24) and is engaged in software development. The transaction is a related party deal done at arm's length and is expected to be completed by March 31, 2026.
This is an internal reorganization with no cash outflow or change in ultimate control, so there is no direct material impact on shareholders. The step-down structure through Aepona Group Limited (Ireland) may offer tax or operational efficiencies, but investors should monitor any future disclosures about the Aepona Group structure.
