Persistent Systems Limited has signed a Share Purchase Agreement to transfer 100% of its wholly-owned subsidiary Persistent Systems France S.A.S. to Aepona Group Limited, Ireland, which is also a wholly-owned subsidiary of Persistent. The transaction is part of internal group restructuring, not an external sale. The consideration is a share swap worth EUR 1,132,991 — Persistent will receive equivalent equity shares of Aepona Group instead of cash. After the transfer, Persistent Systems France will become a step-down subsidiary (subsidiary of Aepona, which remains a subsidiary of Persistent). The France entity is in the ITES industry, with FY25 turnover of EUR 6.18 million, down from EUR 12.74 million in FY23. The deal is expected to complete by March 31, 2026.
This is a purely internal reshuffle between two of the company's own subsidiaries and involves no cash inflow or change in ultimate ownership. Shareholders are unlikely to see any material impact on the stock price or business operations, as Persistent Systems France was not a major revenue contributor.
