Persistent Systems board approved acquiring Germany's Nagarro SE, a digital engineering firm with about EUR 1 billion revenue in CY2025 and 18,500 staff. It first bought 21 percent from the largest shareholder Lantano Beteiligungen at EUR 81 per share, then plans 100 percent takeover via a public offer. Combined entity would be about USD 2.9 billion in revenue with 46,000 plus staff across 40 plus countries. Funded through an EUR 1.4 billion Barclays bridge loan backed by an EUR 1.54 billion corporate guarantee from Persistent. Needs shareholder and regulatory approvals, closing expected Q4 CY2026 or Q1 CY2027.
Major European expansion via all-cash acquisition funded by EUR 1.4B debt. EUR 1.54B guarantee exposes Persistent to bridge loan risk until deal closes.
