Persistent to fully acquire German IT firm Nagarro SE at EUR 81 per share

Persistent Systems board approved acquiring 100 percent of German digital engineering firm Nagarro SE through a Voluntary Public Takeover Offer at EUR 81 per share. Nagarro posted about EUR 999M revenue in CY25 with 18,500 employees across 40 plus countries. Persistent first set up Galaxy Germany Holding SE as a wholly owned BidCo for EUR 135K, bought 21 percent from largest shareholder Lantano, and plans the full offer. Bridge financing of EUR 1.4B from Barclays is backed by a EUR 1.54B corporate guarantee. Combined entity would be about USD 2.9B with 46,000 plus staff. Settlement expected Q4 CY26 or Q1 CY27.
